New Companies among FORDATA’s customers

The second quarter of 2013 was extremely dynamic for FORDATA, carrying a lot of organizational changes, but also those associated with product development and support of new market segments.

All of the IT infrastructure investments made at the onset of the year, resulted not only in significant increase of system performance, but also in an increased number of projects being carried out all at the same time. The second quarter yielded more than 20 new projects and several already completed.

The group of our clients was joined by:

Zelmer S.A., Pamapol S.A. and Inter Groclin Auto S.A.

Zelmer S.A.

The process of seeking a strategic investor, which ended with a public tender offer for Zelmer made by BSH Sprzęt Gospodarstwa Domowego Sp. z o.o. (polish version only), a Polish company that belongs to BSH Bosch und Siemens Hausgeräte GmbH. As a result of that call, BSH became the major shareholder of Zelmer S.A. The BSH Sprzęt Gospodarstwa Domowego Sp. z o.o. and Zelmer S.A. will continue to co-operate as a part of BSH Group, maintaining and further developing a separate portfolio of brands and products, that will become an integral part of the range of the BSH Group.

In response to that call, the largest out of all previous shareholders – Private Equity Enterprise Investors fund, sold all its stake (48% share).

The transaction was carried out in collaboration with Zelmer’s advisor, the Societe Generale Corporate & Investment Banking. The FORDATA VDR was used to prepare a secure document repository that is available to investors, in order to analyze the legal and financial situation of the company, that is ‘due diligence’, necessary for any further negotiations.

Pamapol S.A.

Cooperation with an external Advisor, whose task was to assess the current situation of the company and work on a future development strategy of the Company. Virtual Data Room FORDATA was used in order to provide rapid access to confidential documents for Advisors and an opportunity to work on them continuously.

Because of the necessity of sharing a sensitive, confidential information with users from outside the company, one of the key factors determining the choice of a VDR was the highest security standard used in the application and FORDATA’s approach to safety. This solution guaranteed the client a complete control over the files and full co-ordination in various stages of the project.

Inter Groclin Auto S.A. 

Bilateral exchange of confidential documents with the Kabel Technik Polska and advisors of both companies in order to sign an acquisition contract. Our VDR system facilitated two-way exchange of documentation between the two companies, providing a safe and controlled access, regardless of the place and time.

This resulted in signing of a co-investment agreement, which establishes an implementation of Kabel-Technik-Polska’s assets to Groclin and an acquisition of a new issue of shares from F series by its current owners. This means a significant increase in the scale of operations of Inter Groclin Auto, as well as a merger of economic, organizational, financial and market potentials of both entities.
