Vertex S.A. group – success story

The challenge

The main challenge that the FORDATA team had to face was smooth and fast VDR launch and preparation of document scanning process of all documentation to be disclosed during Due Diligence.

Vertex S.A. owners emphasised the security and confidentiality of the transaction. Due to the fact that potential investors were companies located abroad the decision to choose FORDATA VDR was made basing also on the possibility to eliminate travel and hotels expenses which means lower Due Diligence process organisation costs.

The implementation

Taking into consideration high security and document confidentiality requirements scanning took place at the company headquarters. Yet it did not influence the VDR launching date. It took us only a few days to digitalize and upload documents to VDR. Good process organization allowed disclosing documents to investors in a very short time. Clear document structure and 24/7 access to VDR made the whole process run smoothly and comfortably for all the people involved in the transaction.

The result

As a result of completed Due Diligence Vertex S.A. group  changed its owner – Finish producer and supplier of a wide range of hardware and furnishing products, Pisla-Oy Ltd purchased 100% shares.

Pisla is one of the leaders on the Nordic market in that area and thanks to the acquisition of Vertex S.A. it also increased its product offer and strengthen its position on the market.

Vertex S.A. achieved new growth opportunities by access to new markets and enlargement of the products range.

The FORDATA input

FORDATA  improved most of all the whole organisation of  Due Diligence  as well as entire Vertex documentation preparation. VDR allowed also running the process in an efficient and comfortable way for all transaction parties. It also made it possible to shorten the process duration as well as decrease its costs. Finally, using our data room influenced the image of the company in a positive way. It is perceived as an innovative company  and the one  operating according to international standards.
