Simple document management

Document upload by drag&drop, assigning access rights to files at the upload stage, bulk upload and download of files and folders, automatic file indexing are only an example of features to enable quick and smooth file management.

File protection

Our systems provide upload of files in any format (Office, pdf, jpg, others). File encryption, watermarks and possibility to deny such access rights as file saving, printing or a print screen is possible for .PDF files. Our Data Room also provides protection against Excel files modification.

A pleasant work with documents

Starting from the possibility to receive individual alerts about new files, through two alternative, clear file views i.e. document structure (created after Windows Explorer view) and Document list and ending with adding files to ‘Favourites’, individual file filtering, private notes or group discussions about files/folders make the online document investigation as much pleasurable as possible.

Advanced search options

Our search options are based on a proprietary algorithm that not only enables to search specific document names but also provides key phrases search within the file text without having to open it. The mechanism complies with Polish.

Flexible access rights and user management

It refers to user access rights management incl. admin features access rights as well as access rights to files. Thanks to the fact that our system doesn’t predefine roles, the Administrator has a full flexibility of settings in this respect. Access control involves also blocking access for selected users and/or whole user groups for a specific period of time according to requirements.

Advanced audit trails

Audit trails are a very important knowledge source for the Management Team. They allow to track the transaction progress, verify work being completed but most of all they allow to discover the true intentions of potential partners. It is all possible thanks to activity reports showing exactly who is viewing files, when, which files/folders are most/least popular and there are also reports comparing the activity of partners.

Excel file protection against modification

FORDATA VDR is one of few systems on the market that provides that. From now you can share Excel files in its original format with a guarantee that they will not be modified and the contents will not be copied. .PDF files are, of course, also protected from modification, saving or printing along the VDR market standards. They also include watermarks.

Different business scenarios configurable in Q&A module

Q&A it to boost effectiveness of communication between transaction parties. It allows to easily manage questions from Investors and it guarantees discussions’ confidentiality. FORDATA, as one of a few on the market, provides many Q&A configuration options in order to meet client requirement of the specific transaction process.

Management of selected part of the document structure in VDR

This feature is to increase transaction effectiveness where document exchange of two parties is involved, where files are stored in different locations or where people uploading files are not part of the VDR Management Team (Post-transaction integration, Due Diligence of both sides, other joint projects). It allows to limit user access right only to manage files within selected folders.
